ADVANTAGES OF THE MAURITIUS IBC REGIME

"GBL2 Companies"

Mauritius International Business Companies ("GBL2 Companies") were governed by the International Companies Act of 1994 until the new Companies Act 2001 housed all Mauritius companies under one roof. For all practical purposes Mauritius GBL2 Companies are very similar to the popular BVI companies.

The Mauritius GBL2 is exempt from any tax in Mauritius, corporate directors are permitted and no annual audits, accounts or returns need to be filed.

Because of Corporate & Chancery’s close working association with the officers at the Registry, names may be reserved within an hour of communicating the name.

Incorporation can be achieved within 48 hours.

Mauritius GBL2's may take THREE different forms:
    i) companies limited by shares
    ii) companies limited by guarantee
    iii) companies limited by shares AND by guarantee (the "hybrid" company)
An GBL2 may become either a company limited by guarantee or a hybrid after it has been at first incorporated as a company limited by shares. This provides enormous flexibility in terms of tax planning, and the company limited by guarantee and the "hybrid" company are increasingly being recognised as first class tax planning vehicles, for asset protection, asset structuring, and asset sheltering.

A Mauritius GBL2 (if limited by shares or limited by guarantee) may be converted into a GBL1 which is resident in Mauritius for tax purposes. Therefore, it may engage the reliefs and fiscal advantages contained in the numerous (over 26) double tax treaties to which Mauritius is party. It is also possible for the company to convert back to its original GBL2 status.

Numerous suffixes are available including: "Ltd", "Inc.", "Corporation", "GmbH", "AG", "Sa", "Sarl", "Limitee", "Societee", "Sdn.Bhd", "Pte.Ltd", "Pty.Ltd", "B.V.", "N.V.", "C.C.", "K.K.". In certain cases, the suffix of limitation may be eliminated altogether.

The Mauritius GBL2 has the advantage of offering the ability to have a Chinese name printed on the certificate of incorporation and Chinese worded memorandum and articles of association.

Government charges are US$200 for incorporation and US$200 for annual renewal. The charge for annual renewal is on the anniversary of incorporation of the company.
